These Terms of Service ("Terms") govern your access to and use of the Insight Hunter platform, including all products, services, and features offered at insighthunter.app (collectively, the "Service"), operated by Insight Hunter LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to be bound by them. If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

Insight Hunter is a financial operating platform for small businesses providing:

• Dashboard & Analytics — financial KPIs, cash flow tracking, and reporting
• Bookkeeping — transaction management, categorization, and reconciliation
• AI Forecasting — cash flow projections based on your financial data
• BizForma — business formation filing services (LLC, S-Corp, C-Corp)
• Payroll — employee and contractor payroll processing
• PBX Communications — business phone system with IVR, voicemail, and SMS
• Services Marketplace — referrals and access to third-party business services

3. Account Registration & Security

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately at support@insighthunter.app if you suspect unauthorized account access. We reserve the right to suspend accounts showing signs of unauthorized activity.

4. Subscription Plans & Billing

Plan Tiers

We offer the following subscription tiers: Free, Insight Lite ($29/mo), Insight Standard ($79/mo), Pro Single ($199/mo), and Pro Enterprise (custom pricing). Annual subscriptions are available at a 20% discount. Add-ons including Bookkeeping tiers, Forecasting, Payroll, and PBX are available for additional fees as published on our pricing page.

Billing

Paid subscriptions are billed in advance on a monthly or annual basis via Stripe. You authorize us to charge your payment method on file for the applicable subscription fee. All fees are in USD. Taxes may apply depending on your location.

Free Trial

Paid plans include a 14-day free trial. You will not be charged until the trial ends. You may cancel during the trial period at no cost.

BizForma Promotion

Users who purchase BizForma formation services will receive a complimentary 6-month Insight Standard subscription (a $474 value) automatically applied to their account upon payment confirmation. This promotion is available once per account. After the 6-month period expires, the account will revert to the Free plan unless upgraded.

Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of the current billing period. We do not offer prorated refunds for mid-period cancellations, except where required by law. Formation fees are non-refundable once state filing has been initiated.

5. BizForma Formation Services

BizForma provides business formation document preparation and filing services. Important limitations:

• We are not a law firm and do not provide legal advice. Formation services are document preparation only.
• State filing fees are passed through at cost and are non-refundable once remitted to state agencies.
• Formation timelines are estimates; state processing times vary and are outside our control.
• We are not responsible for rejection of filings due to name conflicts, prohibited business types, or incomplete information you provide.
• You are responsible for obtaining any required business licenses, permits, or professional registrations after formation.
• Registered agent service is provided through our partner network. Annual renewal is required to maintain good standing.

6. Bookkeeping & Financial Data

Financial data you import or enter into the platform remains your property. We process it solely to provide the Service. We do not share your financial data with third parties except as described in our Privacy Policy. AI-generated forecasts and insights are estimates based on your data and should not be used as the sole basis for financial decisions. You should consult a qualified accountant or financial advisor for material business decisions.

7. PBX & Communications Services

PBX services are provided using Twilio's telecommunications network. By using PBX features you agree to:

• Use the service only for lawful business communications
• Comply with all applicable telecommunications laws including the TCPA, CAN-SPAM Act, and FCC regulations
• Obtain proper consent before sending marketing SMS messages (see Section 9)
• Not use the service for spam, robocalling, or any form of telephone harassment
• Not use the service for emergency or life-safety communications — our PBX does not support 911
• Accept that call recording is subject to applicable wiretapping and recording disclosure laws in your state

Phone numbers provisioned through our Service are leased from Twilio and remain the property of the telephone carrier. We reserve the right to reclaim numbers that violate carrier terms or applicable law.

8. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law or regulation
• Transmit spam, unsolicited messages, or bulk communications without proper consent
• Engage in fraudulent, deceptive, or misleading activity
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or extract our source code
• Resell or sublicense the Service without our written consent (except as permitted under Pro Enterprise white-label terms)
• Upload malicious code, viruses, or harmful content

Violation of this policy may result in immediate account suspension without refund.

9. SMS & Text Message Terms (TCPA)

User SMS to Their Customers

If you use our PBX SMS features to send messages to your customers, you represent and warrant that:

• You have obtained express written consent from each recipient prior to sending any marketing SMS
• Your opt-in process clearly discloses: (a) your identity, (b) the nature of messages, (c) message frequency, (d) that msg&data rates may apply, and (e) how to opt out (STOP) and get help (HELP)
• You maintain documented consent records for a minimum of 4 years
• You immediately honor STOP requests — our system does this automatically, but you must not attempt to override opt-outs
• You do not send messages between 9 PM and 8 AM local time of the recipient without prior consent
• Your messages comply with A2P 10DLC registration requirements

Insight Hunter SMS to You

When you opt in to receive SMS from Insight Hunter directly:

• Opt-in: You provide consent via our opt-in form, keyword, or at account registration
• Message types: Account alerts, formation updates, compliance reminders, security codes, and (if you opt in) promotional messages
• Frequency: Varies by account activity; typically 2–8 messages/month
• Cost: Msg & data rates may apply. Insight Hunter does not charge for SMS.
• Opt-out: Reply STOP, STOPALL, CANCEL, END, QUIT, or UNSUBSCRIBE to any message
• Re-subscribe: Reply START or UNSTOP
• Help: Reply HELP or email support@insighthunter.app

TCPA Compliance

Both Insight Hunter and users of our PBX SMS features must comply with the Telephone Consumer Protection Act (47 U.S.C. § 227), its implementing regulations (47 C.F.R. Part 64), and FCC guidance. You agree to indemnify and hold Insight Hunter harmless from any claims, damages, or fines arising from your failure to comply with TCPA or applicable telecommunications law when using our PBX service to contact your customers.

10. Intellectual Property

The Service, including its design, code, AI models, and content, is owned by Insight Hunter LLC and protected by copyright, trademark, and other intellectual property laws. You retain ownership of all financial data, business information, and content you upload. You grant us a limited license to process that data solely to provide and improve the Service.

11. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSIGHT HUNTER'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Not Legal or Financial Advice

Insight Hunter is a technology platform, not a law firm, accounting firm, or financial advisor. Nothing on the Service constitutes legal, tax, accounting, or financial advice. AI-generated insights, forecasts, and recommendations are for informational purposes only. Always consult a qualified professional for legal, tax, and financial decisions.

13. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in Settings. We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a security risk. Upon termination, your right to use the Service ceases. We will retain your data as described in the Privacy Policy.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules, except that either party may seek injunctive relief in court for intellectual property violations. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION PROCEEDINGS.

15. Changes to Terms

We may update these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and may request account deletion.
